Cookehouse Solutions Limited - Trading Terms & Conditions

1. Acceptance of Orders
The receipt by The Cookehouse of an order (whether verbal or in writing) shall be deemed to be acceptance of the following Terms and Conditions. These Terms and Conditions shall prevail to the exclusion of any Terms and Conditions of the Purchaser, expressed or implied, which conflict with these Terms and Conditions.

2. Exclusion of Consequential Losses
Liability is excluded in respect of any loss or damage, however caused and irrespective of the fundamental nature of any obligation or of the fundamental nature or effect of any default in the following instances:-
i) any loss of profit or loss of use, whether suffered by the Purchaser or any other party
ii) any consequential loss or damage.

3. Set Terms
Accounts are strictly net and are due for payment on or before the 30th day following the date of invoice. Should any account become overdue for payment, then The Cookehouse reserves the right to, with immediate effect, seek payment of all monies owing to The Cookehouse. Interest may be charged on overdue accounts at the rate of 8% above the Bank of Englands base rate calculated in accordance with the terms and conditions of this business and the Late Payment of Commercial Debts (Interest) Act 1998.

4. Ownership
Goods, including all written and electronic material produced by The Cookehouse remain the property of
The Cookehouse until our bankers have cleared full payment. On full payment ownership of the finished product transfers to the client, whilst ownership of working files used in production of the finished product remain the property of The Cookehouse. Working files may be provided to the client at the discretion of The Cookehouse. Charges may apply for the collation of working files.

5. Copyright
The Purchaser accepts responsibility for ensuring the appropriate copyrights have been obtained for any
materials supplied to The Cookehouse and agrees to indemnify The Cookehouse for liabilities incurred through any infringement of copyright.

6. Quotations
The details of all quotations whether in writing or not, made by The Cookehouse, will be held firm for a period of 30 days.

7. Cancellation of Orders
Orders cannot be cancelled without the agreement of The Cookehouse. The Cookehouse reserves the right to render cancellation charges if deemed justified by The Cookehouse.

8. Definition of billable work
In all cases, The Cookehouse bills for work done on behalf of a client. It does not guarantee results.

9. Authorship
The Cookehouse reserves the right to indicate on all material produced by the said company, whether electronic or otherwise, that The Cookehouse has been responsible for the work.

10. Invoice Timing
The Cookehouse reserves the right to invoice the client on receipt of a proposal acceptance. VAT will be added to invoices as required.

11. Legal Construction
The contract shall in all respects be construed and operated as an English contract in conformity with English law. It will be subject to the exclusive jurisdiction of the English courts.

12. Dispute
Any disputes or differences may be resolved amicably by using an alternative dispute resolution procedure acceptable to both parties. If the dispute or difference is not resolved to the satisfaction of both parties within 90 days after it has arisen the dispute shall be referred to arbitration.
